Analysis
The Texas Department of Transportation, hereinafter TxDoT has advised the City of Grand Prairie, Texas, hereinafter Grand Prairie, that the responsibility and the charges for the City’s maintenance and operation of traffic signals at certain locations along State Highway 360 have been suspended during the time that the State’s contractor, Lane Abrams Joint Venture, hereinafter Lane Abrams, and its contractors and subcontractors are constructing the SH 360 project, until the final acceptance of such project. It has become apparent to Grand Prairie and Lane Abrams that in certain situations, specifically the loss of power to the traffic signals during storms or other outages, that Grand Prairie can more quickly respond and provide generators to restore the operations of such traffic signals until normal electrical power is restored. Grand Prairie and Lane Abrams have agreed that in spite of the suspension of the agreement between TxDoT and Grand Prairie for the reimbursement for the operation and maintenance of traffic signals within a municipality, that Grand Prairie should respond and install generators at the signals, notifying Lane Abrams or their contractors or subcontractors, and continue to operate the traffic signals until the power is restored or until Lane Abrams or its subcontractors can respond.

A RESOLUTION OF THE CITY OF GRAND PRAIRIE, TEXAS, APPROVING TEXAS DEPARTMENT OF TRANSPORTATION RECOMMENDATIONS FOR THE MAINTENANCE AND OPERATION OF TRAFFIC SIGNALS AT CERTAIN LOCATIONS ALONG STATE HIGHWAY 360 DURING THE CONSTRUCTION WITH LANE ABRAMS JOINT VENTURE FOR THE SH 360 PROJECT
WHEREAS, the Texas Department of Transportation, hereinafter TxDOT has advised the locations along State Highway 360 have been suspended during the time that the State’s contractor, Lane Abrams Joint Venture, hereinafter Lane Abrams, and its contractors and subcontractors are constructing the SH 360 project, until the final acceptance of such project; and
WHEREAS, it has become apparent to Grand Prairie and Lane Abrams that in certain situations, specifically the loss of power to the traffic signals during storms or other outages, that Grand Prairie can more quickly respond and provide generators to restore the operations of such traffic signals until normal electrical power is restored; and
WHEREAS, Grand Prairie and Lane Abrams have agreed that in spite of the suspension of the agreement between TxDoT and Grand Prairie for the reimbursement for the operation and maintenance of traffic signals within a municipality, that Grand Prairie should respond and install generators at the signals, notifying Lane Abrams or their contractors or subcontractors, and continue to operate the traffic signals until the power is restored or until Lane Abrams or its subcontractors can respond;
NOW, THEREFORE, IT IS AGREED BETWEEN THE PARTIES AS FOLLOWS:
1. When there is notification to Grand Prairie that the power is out in the traffic signals at one of the affected intersections, Grand Prairie will notify Lane Abrams or their subcontractors, but will also provide an initial response with generators or appropriate equipment, and act to restore power and to resume the operation of the traffic signals at the affected intersections.
2. Grand Prairie will continue to operate the traffic signals until power is restored, or until there is an appropriate response by Lane Abrams or its contractors or subcontractors.
3. Lane Abrams will reimburse Grand Prairie in the customary manner for expenses and response time by Grand Prairie personnel and the use of equipment to resume operation of the traffic signals. The current FEMA billable rates is attached hereto as Exhibit A, and acknowledged by Lane Abrams.
4. The parties will send a copy of this agreement to TxDoT, so that they will be aware of how response will be made.
5. Grand Prairie will act when it deems that is necessary to protect the life and safety of the travelling public, and reserves all of the immunities inherent in the exercise of governmental powers.
