Analysis

The City has a long-term lease with Anschutz Texas, L.P. for operation of The Theatre at Grand Prairie (the "Theatre").  Current wireless communication services are reportedly inadequate to effectively serve patrons of the Theatre.

 

Anschutz and Mobilitie are parties to a Master Venue Agreement under which Mobilitie installs wireless communications network infrastructure at venues owned or leased by Anschutz.  A separate agreement called a Venue Lease Agreement ("VLA") is executed for each specific venue where Mobilitie installs its network pursuant to the master agreement.  The Mobilitie network is a platform to be used by up to four wireless carriers (AT&T, Verizon, T-Mobile, and Sprint) to provide enhanced wireless service inside and immediately outside the Theatre.  The enhancements provide patrons with improved cell phone coverage, as well as higher speed data and video services, all of which are intended to enhance a patron's experience at the Theatre.  The enhancements will require the installation of equipment, cabling and antennas, inside, outside, and onto the Theatre.

 

The Venue Lease Agreement has a likely term of at least twenty years.  The agreement provides that its terms shall apply to any subsequent lessee of the Theatre, and that the City will take over the obligations of Anschutz to Mobilitie under the VLA should such leases be terminated.  In short, the City could ultimately step into the shoes of Anschutz and become Mobilitie's lessee under the VLA.  In order for the City to be bound under the VLA, it must consent to the VLA between Anschutz and Mobilitie, which is the reason this item is being bought to the Council for approval.
